Terms and Conditions
1.0 General:
1.1 These terms and conditions apply to every offer, quotation, and agreement between “provider” and “participant”, hereinafter referred to as: “Business Address Amsterdam” and “participant” to which Business Address Amsterdam has declared these terms and conditions applicable, and insofar as these terms and conditions have not been expressly deviated from in writing by the parties.
1.2 The present terms and conditions also apply to agreements, for the implementation of which third parties must be involved by Business Address Amsterdam.
1.3 The applicability of any purchase or other conditions of the participant is expressly rejected.
1.4 If one or more provisions in these general terms and conditions are at any time wholly or partially null and void or should be annulled, the other provisions of these general terms and conditions will remain fully applicable. Business Address Amsterdam and the participant will enter into consultations in order to agree on new provisions to replace the void or voided provisions, whereby the purpose and purport of the original provisions will be taken into account as much as possible.
1.5 If there is uncertainty about the interpretation of one or more provisions of these general terms and conditions, the explanation must take place ‘in the spirit’ of these provisions.
1.6 If a situation arises between the parties that is not regulated in these general terms and conditions, this situation must be assessed in accordance with the spirit of these general terms and conditions.
1.7 If Business Address Amsterdam does not always require strict compliance with these terms and conditions, this does not mean that the provisions thereof do not apply, or that Business Address Amsterdam would in any way lose the right to demand strict compliance with the provisions of these terms and conditions in other cases. require conditions.
2.0 Participants
2.1 Participation in Business Address Amsterdam has various forms and these can be adjusted and changed from time to time. In individual cases, management may offer an agreement adapted to the individual needs of a participant, provided that this does not change the terms and conditions of the existing participants.
2.2 The agreement can be terminated unilaterally by the management of Business Address Amsterdam if:
2.2.1. The participant does not comply with the rules and agreements as laid down in the conditions.
2.2.2 The Participant has not paid the invoice of Business Address Amsterdam on time.
2.2.3 In the event of bankruptcy or suspension of payment of the participant and/or attachment, Business Address Amsterdam retains the right to terminate the agreement without restitution of the fees already paid.
2.3.4 Harms the participant of Business Address Amsterdam or the participants of Business Address Amsterdam in any way.
3.0 Services for Participants
3.1 Participants may register with the Chamber of Commerce with the address of Business Address Amsterdam, the address may also be used for correspondence (no parcel traffic). Mail is received by Business Address Amsterdam and separated from mail from other participants, and passed on to the participant or an authorized person in accordance with the supplementary postal service subscription.
3.2 If no postal service subscription has been agreed upon, the mail will not be forwarded and will be destroyed. Business Address Amsterdam is not responsible for forwarding the mail and/or liable for damage and/or consequential damage.
3.3 If the postal service subscription has been taken out, mail will be physically forwarded in accordance with the agreement.
3.4 In the event of cancellation of participation, Business Address Amsterdam is not responsible for changes to the postal address, and is therefore not responsible for forwarding mail and/or liable for any damage. Business Address Amsterdam can, in accordance with the authorization, proceed to deregister the ‘user’ from the Chamber of Commerce.
3.5 Participants may register with the Chamber of Commerce with the address of Business Address Amsterdam, the address may be used by participants for office and administration purposes as well as receiving customers and guests. The internal regulations of the relevant location are expressly applicable.
3.6 Use of work and meeting room can be reserved online via the website www.businessaddress.amsterdam.
3.7 Settlement will take place in advance in accordance with actual use and there is no right to a refund.
4.0 Contributions
4.1 Business Address Amsterdam is a commercial enterprise, Business Address Amsterdam is financed from the contributions of participants. Participating entitles you to the (Chamber of Commerce) establishment and use of the space as agreed in the agreement.
4.2 The amount of the contribution is determined in consultation with each individual member.
4.3 The contribution is paid in advance. A system of advance payments with
settlement applied.
4.4 Participation commences after payment of the invoice/contribution, on the agreed date in the contract, and
applies for the duration specified in the contract.
4.5 Company address. Amsterdam handles the information provided by participants with care. The data is not touching
provided to third parties without the prior consent of participants, except in the following cases:
4.5.1 fraud prevention;
4.5.2 at the first request of the judicial authorities or other government organizations.
5.0 Termination
5.1 is possible by not paying the membership for a subsequent period. Business Address Amsterdam will terminate the agreement on the expiry date.
6.0 Payment
6.1 For Each payment term, participants receive an (advance) invoice and/or advance invoice for the upcoming payment term. By paying this, participants confirm for that specified payment term that they want to participate.
6.3 If payment is not made on time, the agreement will be immediately (unilaterally) terminated by the management of Business Address Amsterdam or the user will no longer be entitled to use the services offered.
6.4 If the user does not independently deregister at the Business Address Amsterdam location within 7 days, the management of Business Address Amsterdam is independently authorized to deregister (authorization art. 14 Chamber of Commerce) of the participant’s company.
6.5 Business Address Amsterdam is not liable for damage caused by the deregistration.
6.6 Upon approval by checking the link and/or payment, the participant also declares to agree with these Terms and Conditions.
6.7 If, after the statement of approval (article 6.6), payment has not been made within the set (invoice) term and/or the other conditions have not been met or the agreement is not concluded, the participant will owe an administration fee of €75.
This edition of the General Terms and Conditions is valid from 01 January 2015.
7.0 Liability:
7.1 If Business Address Amsterdam should be liable, then this liability is limited to what has been arranged in this provision.
7.2 Business Address Amsterdam is not liable for damage of any nature whatsoever caused by the participant relying on incorrect and/or incomplete information provided by or on behalf of the Client.
7.3 If Business Address Amsterdam should be liable for any damage, then the liability of Business Address Amsterdam is limited to a maximum of twice the invoice value of the order, at least to that part of the order to which the liability relates.
7.4 The liability of Business Address Amsterdam is in any case always limited to the amount paid out by its insurer where appropriate.
7.5 Business Address Amsterdam is only liable for direct damage.
7.6 Direct damage is exclusively understood to mean the reasonable costs to determine the cause and extent of the damage, insofar as the determination relates to damage within the meaning of these terms and conditions, any reasonable expenses incurred to remedy the defective performance of Business Address Amsterdam comply with the agreement, insofar as these can be attributed to Business Address Amsterdam and reasonable costs incurred to prevent or limit damage, insofar as the participant demonstrates that these costs have led to limitation of direct damage as referred to in these general terms and conditions. Business Address Amsterdam is never liable for indirect damage, including consequential damage, lost profit, missed savings, and damage due to business interruption.
7.7 The limitations of liability included in this article do not apply if the damage is due to intent or gross negligence on the part of Business Address Amsterdam or its managerial subordinates.
8.0 Disclaimer
8.1 The participant indemnifies Business Address Amsterdam against any claims from third parties who suffer damage in connection with the implementation of the agreement and the cause of which can be attributed to others than Business Address Amsterdam. If Business Address Amsterdam should be held liable by third parties on that basis, the participant is obliged to assist Business Address Amsterdam both in and out of court and to immediately do everything that may be expected of him in that case. Should the user fail to take adequate measures, Business Address Amsterdam is entitled, without notice of default, to proceed to do so itself. All costs and damage incurred by Business Address Amsterdam and third parties as a result thereof are fully at the expense and risk of the participant.
9. Governing Law and Disputes
9.1 All legal relationships to which the user is a party is governed exclusively by Dutch law, even if an obligation is wholly or partly performed abroad or if the party involved in the legal relationship is domiciled there. The applicability of the Vienna Sales Convention is excluded.
9.2 The court in the place of business (Amsterdam) of Business Address Amsterdam has exclusive jurisdiction to hear disputes unless the law prescribes otherwise.
10.3 The parties will only appeal to the courts after they have made every effort to settle a dispute in mutual consultation.
